HELIUM REMIX CONTEST - OFFICIAL RULES AND REGULATIONS


NO PURCHASE NECESSARY TO ENTER OR WIN. MAKING A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. 

1. PROMOTION DESCRIPTION: The Helium Remix contest begins on January 7th, 2025 at 12:00 AM UTC and ends on February 21st, 2025 at 12:00 AM UTC (the \"Promotion Period\"). 

The sponsor of this Contest is 767 Publishing LLC ("Sponsor" or “767”). By participating in the contest and submitting an entry (“Entry”, or collectively, “Entries”), each participant (“Entrant”) unconditionally accepts and agrees to comply with and abide by these official rules (“Official Rules”) and the decisions of Sponsor, which shall be final and binding in all respects. Sponsor is responsible for the collection, submission or processing of Entries and the overall administration of the Contest. Entrants should look solely to Sponsor with any questions, comments or problems related to the Contest. Sponsor may be reached by email at contact@767agency.com during the Promotion. 

2. ELIGIBILITY: The Sponsor is open to all amateur and professional songwriters and anyone regardless of nationality or origin who are at least thirteen (13) years old at the time of entry (the \"Entrant\"). Employees of the Sponsor, its families, subsidiaries and affiliates are not eligible. If entrant is under 18 years old, the permission and signature of a parent or legal guardian is required.

3. SINGLE ENTRY: Entrants can only submit one version of the remix. The Sponsor does not give feedback or a critique to entrants.

4. SUBMISSION REQUIREMENTS: Entry materials will only be accepted in the form of digital copies submitted to the Sponsor’s contest Dropbox Account. SUBMISSIONS MUST BE FORMATTED AS .WAV FILES; 24 BIT / 48 KHZ. Submitted entries will not be returned to the entrant. Sponsor is not responsible for late, lost, damaged, misdirected, postage due, stolen, incomplete, or misappropriated entries.

5. Artificial Intelligence: Sponsor prohibits any song or lyrics written partially or in full by ChatGPT or any other AI-generated content. If Sponsor identifies any abuse or violation of this policy, the song will be immediately disqualified and removed from the competition.

6. EXTENSION: Sponsor reserves the right to extend the entry deadline and decision periods.

7. PRIZE: Grand Prize: One (1) entry will receive a prize of Helium Production and Promotion (approximate retail value or "ARV": $5,500.00 + Lifelong Royalties in agreement with Isabella&Sebastian).

The winning remix will receive professional support and promotion from affiliates of the 767 Agency including mastering, public relations and media support, and distribution. Additionally, the winning entrant will receive writing credits with Isabella&Sebastian for the remix and 50% lifetime royalties generated by the remix.  Royalty payments will be administered by 767 Agency or a designated affiliate. Only one prize will be awarded. Prizes cannot be transferred, redeemed for cash or substituted by winner. Sponsor reserves the right in its sole and absolute discretion to award a substitute prize of equal or greater value if a prize described in these Official Rules is unavailable or cannot be awarded, in whole or in part, for any reason. The ARV of the prize represents Sponsor's good faith determination. That determination is final and binding and cannot be appealed. If the actual value of the prize turns out to be less than the stated ARV, the difference will not be awarded in cash. Sponsor makes no representation or warranty concerning the appearance, safety or performance of any prize awarded. Restrictions, conditions, and limitations may apply. Sponsor will not replace any lost or stolen prize items. Entrants agree to hold harmless and indemnify affiliates from any and all actions associated with the contest, entrants and all other related activities, actions, and claims related to all actions associated with the contest. 
    

All international, federal, state and/or local taxes, fees, and surcharges are the sole responsibility of the prize winner. Failure to comply with the Official Rules will result in forfeiture of the prize.

8. ENTRY FEES: This contest is free to enter for everyone. 

9. DISTRIBUTION: The winning remix will be solely distributed through 767 Agency’s distribution platform. 

10. WINNER SELECTION: The Winner(s) of the Contest will be selected by a panel of music industry judges for eligible Entries received throughout the Promotion Period. Entries will be screened by a Sponsor listening committee who will select the finalists, and the finalists will be sent to the judges who will select the winner. The judging committee consists of Isabella&Sebastian and music industry professionals including, but not limited to, music industry professionals, record label executives and artists. Remixes are judged equally on melody, composition, originality, and lyrics (when applicable). Some categories may have additional or alternative criteria. Lyrics may be in any language. Production value will be considered. All prizes will be awarded to the first name as it appears on the entry form, and division of prizes among co-authors is the responsibility of winners. Entrant agrees to accept the final decision of the Sponsor and its judges.

11. WINNER NOTIFICATION: The Sponsor’s semi-finalists and finalists will be announced in February or March, 2025, and winners in April or May, 2025 or as soon as the judges have completed the judging process. The Sponsor will post all results on its website, social media accounts and will notify entrants by email that results are posted. Entrant is responsible for providing up-to-date and correct email addresses to the Sponsor. The Sponsor is not responsible for entrant's non-receipt of any Sponsor emails for any reason, including but not limited to, server or email malfunctions, including email deliverability. Entrants should check their junk mailboxes if they do not receive the results.

12. INTELLECTUAL PROPERTY PROTECTION: All entries submitted must be original remixes and shall not infringe any copyrights or any other rights of any third parties.  The Sponsor will use its best efforts to announce the winners at the designated time, but will not be held liable for any unforeseen delays. Winners will be notified by email or phone. Winners will be required to sign an affidavit confirming that winner's song is original and he/she holds rights to the song and any and all samples or other potential third party material that was used for the remix. Failure to sign and return the form within the required time period or provision of false information may result in disqualification and an alternate winner may be selected. Affidavits are subject to verification by the Sponsor and its agents. Entry constitutes permission to use winner's name, likeness, and voice for future advertising and publicity purposes without additional compensation. ALL ENTRIES ARE UNDERSTOOD TO BE ORIGINAL REMIXES OF THE SONG “HELIUM” © 2024 ISABELLA&SEBASTIAN. ALL ENTRIES ARE CONSIDERED THE PROPERTY OF 767 PUBLISHING LLC. REMIXES CAN BE PLAYED AND PROMOTED BY THE ENTRANT UNDER THE EXPRESS WRITTEN CONSET AND AGREEMENT WITH 767 PUBLISHING LLC. 

13. PERMISSIONS: All third-party samples, loops, or other sources of musical contribution to the remix used by Entrants must have permissions granted by official licensing or similar granting authorities. Remixes may have multiple co-writers, but only one name should be designated as the Entrant on the entry form. All songwriters must be listed on the entry form in the field requesting the names of the songwriters. Please list the full name of the songwriter(s) - do not use initials. Entrant shall, by entering, indemnify and hold Sponsor harmless from and against any and all claims inconsistent with the foregoing.

14. SPONSOR INELIGIBILITY: Sponsor, and their respective parents, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies and each of their respective officers, directors and employees (the \"Promotion Entities\"), are ineligible to enter the Contest or win a prize. 

15. HOW TO ENTER: Enter the Contest during the Promotion Period online by (1) launching Isabella&Sebastian website (www.isabellasebastian.com)  on a laptop, desktop or mobile device, (2) Select Tab “Helium Remix Competition and (3) Enter Your Email and Contact information to Receive Official Entry Email. 

Automated or robotic Entries submitted by individuals or organizations will be disqualified. Internet entry must be made by the Entrant. Any attempt by Entrant to obtain more than the stated number of Entries by using multiple/different email addresses, identities, registrations, logins or any other methods, including, but not limited to, commercial contest/sweepstakes subscription notification and/or entering services, will void Entrant's Entries and that Entrant may be disqualified. Final eligibility for the award of any prize is subject to eligibility verification as set forth below. All Entries must be posted by the end of the Promotion Period in order to participate. Sponsor's database clock will be the official timekeeper for this Contest.

16. PRIVACY: Any personal information supplied by the Entrant will be subject to the privacy policy of the Sponsor. By entering the contest, the Entrant grants Sponsor permission to share the email address and any other personally identifiable information with the other Sponsor Entities for the purpose of administration and prize fulfillment, including use in a publicly available Winners list.

17. LIMITATION OF LIABILITY: Sponsor assumes no responsibility or liability for: (a) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Contest; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, camera, computers or providers utilized in any aspect of the operation of the Contest; (d) inaccessibility or unavailability of any network or wireless service, the Internet or website or any combination thereof; (e) suspended or discontinued Internet, wireless or landline phone service; or (f) any injury or damage to participants or to any other person’s computer or mobile device which may be related to or resulting from any attempt to participate in the Contest or download of any materials in the Contest.

If, for any reason, the Contest is not capable of running as planned for reasons which may include without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, the Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest in whole or in part. In such event, Sponsor shall immediately suspend all Contest activities and prize awards, and Sponsor reserves the right to award any remaining prizes (up to the total ARV as set forth in these Official Rules) in a manner deemed fair and equitable by Sponsor. Sponsor and Released Parties shall not have any further liability to any participant in connection with the Contest.

18. INDEMNIFICATION: Each Entrant agrees to: (a) comply with and be bound by these Official Rules and the decisions of Sponsor which are binding and final in all matters relating to this Sweepstakes; (b) defend, indemnify, release and hold harmless Sponsor and its respective parent, subsidiary, and affiliated companies, celebrities, and any other person and organization responsible for sponsoring, fulfilling, administering, advertising or promoting the Contest, and all of their respective past and present officers, directors, employees, agents and representatives (collectively, the “Released Parties”) from and against any and all claims, expenses, and liability, including but not limited to (i) breach of the representations and warranties hereunder, (ii) negligence and damages of any kind to persons and property arising out of or relating to a participant’s Entry, creation of an Entry or submission of an Entry, participation in the Contest, acceptance, possession, attendance at, defect in, delivery of, inability to use, use or misuse of prize (including any travel or activity related thereto) and/or the broadcast, exploitation or use of Entry. Winner acknowledges that all prizes are awarded as-is without warranty of any kind.

19. RELEASES: By participating in this Contest, Entrants agree to release Sponsor and any other organizations affiliated with the sponsorship, fulfillment, administration, prize support, advertisement or promotion of the Contest and each of their respective parents, agents, affiliates, subsidiaries, advertising and promotion agencies, and prize suppliers, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the “Released Parties”) from any and all actions, claims, injury, loss or damage arising in any manner, in whole or in part, directly or indirectly, from participation in this Sweepstakes and/or acceptance, use or misuse of any prizes (or portion thereof).

21. TRANSFERS AND SUBSTITUTIONS: There will be no transfer and substitution of prizes. Sponsor will not pay any winners' taxes or custom's fees. Prizes will be administered within a reasonable amount of time, and Sponsor will use its best efforts to send prizes out in a timely fashion. If after 180 days any winner has not received any portion of prizes, it is winner's responsibility to notify 767 in writing within 30 days, and by certified mail, as to which prizes are outstanding. If winner fails to notify 767, 767 will no longer be responsible for delivery of prizes. 

22. JUDGE INDEMNIFICATION: Entrant acknowledges that all songs entered may be distributed to judges who will be selecting the winners, and Entrant agrees to release, indemnify, and hold    Sponsor and judges harmless for liability, damages, or claims for injury or loss to any person or property relating to, in whole or in part, directly or indirectly, participation in Contest. 

23. MINORS: By entering, entrant and/or their parents or legal guardian (if such entrant is a minor) agrees to accept and be bound by the decisions of Sponsor and its judges which are final and binding in all matters. 

24. BINDING TERMS: By entering, Entrant agrees to be bound by all terms of these official Rules and Regulations as established herein.
